Register a Company in Lisbon: The Honest 2026 Guide
If you want to register a company in Lisbon, Portugal will surprise you: the state built a same day incorporation service two decades ago and it still works. Empresa na Hora hands you a live company over a counter for 360 euros, and online can cost less. What slows foreign founders is everything around it: a Portuguese tax number first, a business bank account, and filings due five, fifteen and thirty days after the company exists. Below: the structure, the steps, the 2026 rates, and what falls due once you trade. General information, not legal or tax advice.

Why Founders Register a Company in Lisbon
The rules are national, so you can register a company in Lisbon or in Braga and fill in the same forms. What differs is the ecosystem: the densest concentration of bilingual accountants, corporate lawyers and bank branches used to non resident shareholders sits here. Budget time for the language, because tax and social security post arrives in Portuguese only; lessons through preply.com or italki.com repay themselves the first time you read an official letter calmly. The counterpoint is cost: offices and salaries here are the country’s highest, and the city charges a municipal surcharge many smaller towns waive, so choosing to register a company in Lisbon is about access rather than savings.
Get a NIF and Choose Your Structure
Nothing happens until every shareholder and director holds a Portuguese tax number, the NIF. Residents get one at any Financas counter; people abroad can obtain one through a Portuguese consulate or a representative. If you live outside the EU or the EEA the old rule was that you must appoint a fiscal representative, but Decree Law 44/2022 lets you drop that by signing up for electronic notifications in the Portal das Financas. Settle it before booking anything.
Most foreign founders who register a company in Lisbon choose the Sociedade por Quotas, written Lda, the local private limited company. The official service page says it takes two or more partners; with a single owner you form a Sociedade Unipessoal por Quotas. Capital is not the barrier people expect: that page sets no minimum total and only requires each quota to be worth at least one euro. An eSIM from airalo.com keeps you online on a scouting trip but gives you no Portuguese number for the SMS codes banks and the tax portal send. spotahome.com lets you sign a flat remotely, though a rented flat is not automatically your registered office.
Empresa na Hora or Empresa Online, Step by Step
There are three routes to register a company in Lisbon. The sequence is the same whichever you pick.
- Settle the name. At an Empresa na Hora desk you pick from a list of pre approved names on the spot. For your own name, request a certificate of admissibility from the Registo Nacional de Pessoas Coletivas first, 75 euros in the official fee schedule.
- Pick your articles of association. A pre approved model is instant; drafting your own adds time and cost.
- Choose the channel. Empresa na Hora at a counter costs 360 euros, same day. Empresa Online is 220 euros with model articles and 360 euros with your own, allowed two business days. Expedited online filings are 440 and 720 euros. The traditional registry route is quoted at ten business days.
- Complete the incorporation. You leave with the articles, access codes to the permanent commercial registry certificate and the electronic company card, and the company’s Social Security number.
- Deposit the share capital. Within five business days into a company account, or into the company’s own funds by the end of the first financial year.
- File the beneficial owner register. The RCBE declaration is due within 30 days.
- Claim any discount. Companies whose object is research, development or technology activity get a 60 euro reduction, per the official service page.
The 2026 Tax Picture and Lisbon’s Derrama
Older guides are wrong here, because the rate is falling on a published schedule. The 2026 State Budget, Law 73-A/2025, set the headline IRC corporate income tax rate at 19%, down from 20%, with 18% planned for 2027 and 17% for 2028. SMEs and Small Mid Caps pay 15% on the first 50,000 euros of taxable income. On top sits the derrama municipal, the one place where choosing to register a company in Lisbon changes the bill: the tax authority circular for the 2025 tax period lists Lisbon at 1.5%, exempting firms whose prior year turnover stayed at or below 150,000 euros, named retail and food service activity codes up to 1,200,000 euros, and employers creating and keeping five jobs for three years. Municipalities reset this yearly, so check the current circular.

What You Owe Once the Company Exists
Incorporation is the easy half. Within 15 days you file the declaration of start of activity with the tax authority, and because a company keeps organised accounts a Contabilista Certificado files it. That accountant is not optional in Portugal.
The standard mainland IVA rate is 23%. Article 53 of the IVA code exempts taxpayers whose Portuguese turnover in the previous calendar year stayed at or below 15,000 euros, but most trading companies register normally so they can reclaim input IVA. If you employ anyone, including yourself as a managing partner, you register with Seguranca Social: 23.75% from the employer and 11% from the employee, with a lower 20.3% and 9.3% split for statutory body members who take no management duties.
Banking stretches the timeline. Portuguese banks run full source of funds checks and often want directors in a branch, so start the day your registry certificate exists. Many founders who register a company in Lisbon pair the local account with a multi currency one from wise.com or revolut.com. Treat those as a complement: the capital deposit and the Seguranca Social direct debits still want a Portuguese bank.
Frequently Asked Questions
How long does it take to register a company in Lisbon?
At an Empresa na Hora counter you can register a company in Lisbon the same day and leave with your registry access codes. Online it is immediate with model articles and about two business days with your own. The bank account is the slowest part.
What does it cost to register a company in Lisbon?
Empresa na Hora at a counter is 360 euros. Empresa Online is 220 euros with pre approved articles and 360 euros with your own, or 440 and 720 euros expedited. A certificate of admissibility for your own name is 75 euros, and research, development and technology companies get a 60 euro reduction.
Can I set up a Portuguese company without living in Portugal?
Yes. Residency is not required, but every shareholder and director needs a Portuguese NIF first. Founders resident outside the EU or the EEA traditionally had to appoint a fiscal representative; Decree Law 44/2022 lets electronic notifications in the Portal das Financas replace that.
What is the corporate tax rate in Portugal in 2026?
The headline IRC rate is 19%, with 15% on the first 50,000 euros of taxable income for SMEs and Small Mid Caps. Lisbon adds a 1.5% municipal derrama, subject to exemptions the tax authority publishes yearly, and a state surcharge starts above 1.5 million euros of profit.
Do I really need a Portuguese accountant?
Yes. A Portuguese company keeps organised accounts, so a Contabilista Certificado must file your start of activity declaration within 15 days of incorporation and then handle IVA and IRC. Appoint one before incorporating, because that clock starts immediately.
Your Register a Company in Lisbon Action Plan
Get every founder a NIF, settle the name, then register a company in Lisbon through Empresa na Hora for 360 euros or Empresa Online from 220 euros. Diarise three deadlines the same afternoon: share capital within five business days, start of activity within 15 days, RCBE within 30. Appoint a Contabilista Certificado before the appointment, not after, and open the bank account as soon as the registry certificate issues.
