Register a Company in Rotterdam: The Honest 2026 Guide

If you want to register a company in Rotterdam, the Dutch system is one of the least painful in Europe: one appointment at the Chamber of Commerce, one fee, and your business legally exists. The awkward part is everything around that appointment. You need a citizen service number, a real address, the right legal form chosen before you book, and if you are not an EU national, a residence permit that lets you work for yourself. It is general information, not legal or tax advice, so check your case with a Dutch accountant.

Why Founders Register a Company in Rotterdam

People register a company in Rotterdam for reasons that have little to do with tax brochures. This is the port city: logistics, shipping, food trade, offshore energy and the firms built around them, with Erasmus University feeding graduates into a concentrated startup scene. There is a practical advantage too. The KVK office and the municipality’s own business desk share one building on Blaak, so a registration question and a permits question get settled in the same trip, and the municipal desk tells you for free which permits your activity needs.

Decide this before you book anything, because it changes who does the paperwork. An eenmanszaak, the Dutch sole trader, you register yourself at KVK. A besloten vennootschap (BV) must be incorporated by a Dutch civil-law notary, who draws up the deed and articles of association, then registers the BV and its directors with KVK and files your ultimate beneficial owners in the UBO register.

Share capital is a non-issue: at least 0.01 euro, in cash or in kind. The notary is the real cost, and notary fees are not set by law, so ask two or three offices for a fixed quote in writing. Find one through notaris.nl, run by the Dutch notaries’ professional body. Many freelancers who register a company in Rotterdam start as an eenmanszaak and convert to a BV later, once profit or liability justifies it.

How to Register a Company in Rotterdam at KVK, Step by Step

The order matters more than people expect.

  1. Get your citizen service number (BSN). You cannot register without one. It comes from the Personal Records Database at the municipality, or the Non-residents Records Database if you stay under four months.
  2. Sort the address. If the business address is not your home, bring the lease or purchase contract, or a declaration of consent signed by the owner or landlord.
  3. Choose the legal form, and see the notary first if it is a BV. The notary normally handles the KVK filing for you.
  4. Fill in the online form. You log in with DigiD, and the form is in Dutch, so budget time or help for it.
  5. Book the appointment. Up to eight weeks ahead, online or on 088 585 15 85, choosing the office and time slot yourself.
  6. Attend at Blaak 40 with valid ID and your documents, and pay the one-off fee of 85.15 euro by card. Cash is not accepted, and the fee is deductible.

Timing is a rule, not a suggestion: register no later than one week after you start trading, and no earlier than one week before. Afterwards you get your KVK number, and KVK passes your details to the Tax Administration automatically, so there is no separate tax registration.

Tax, VAT and What the Belastingdienst Wants

Once you register a company in Rotterdam, two tax tracks open. A BV pays corporate income tax on its profit, and if you hold at least 5% of the shares the customary salary rule stops you paying yourself nothing. An eenmanszaak pays no corporate tax, because the profit lands in your personal income tax return.

VAT applies either way. You receive two numbers: a VAT identification number (btw-id) that belongs on every invoice, and a VAT tax number for the Tax Administration. If turnover is 20,000 euro or less you can opt into the small businesses scheme, charge no VAT and, with few exceptions, file no VAT return. That helps a side business, but it blocks you from reclaiming input VAT.

Non-EU Founders, Banking and the Language Problem

On a non-EU passport the permit comes first, because you cannot register a company in Rotterdam and sort immigration afterwards. The self-employed residence permit is scored by the Netherlands Enterprise Agency on your personal experience, your business plan and your added value to the Netherlands: at least 30 points in each area, or 45 for experience plus 45 for the plan. It costs 423 euro and the IND decides within 90 days. Turkish nationals and long-term EU residents from another member state skip the scoring. Americans and Japanese nationals use their friendship and trade treaties instead, investing a minimum of 4,500 euro for most business forms. A separate start-up permit lasts one year with an approved facilitator and runs until 1 June 2028.

For money, a Dutch business account wants your KVK number, your BSN and ID, and the bank will take its time. Many founders open a Dutch account such as bunq.com and keep a multi-currency account like wise.com or revolut.com beside it for foreign suppliers, though confirm you get a Dutch IBAN before relying on one for payroll or direct debits. If you still need an address to register against, housinganywhere.com lists mid-term rentals with a real contract. And since the KVK form and most official letters are in Dutch, lessons through preply.com pay for themselves.
